        应兰州大学管理学院邀请,美国德克萨斯基督教大学Garry D. Bruton教授将于5月21日为我院研究生进行学术讲座,欢迎广大师生届时参加。

讲座题目:INSTITUTIONAL LOGICS, BOARD INTERLOCKS AND IPO PERFORMANCE

 IN THE US AND UK

内容简介:Building on institutional theory and the sociology perspective on capital markets, we examine the process of legitimation that underpins investor valuation of IPOs in the context of different institutional logics. We focus on the impact of board interlocks of the CEO, internal and external board members on investor perceptions of IPO firms in the US and UK. We find that the strength of board members’ interlocks is an endogenous factor that relates positively to the strength of the CEO’s interlocks, but this relationship is stronger in the UK than in the US. More extensive interlocks lead to higher valuations in the UK than in the US. This is the result of differences in institutional logics that underpin corporate governance in the two culturally related settings.
